You will be at the heart of strategic decision-making, collaborating closely with executive stakeholders, external counsel, and regulatory bodies.

What you'll do:

As Head of Legal and Compliance based in Kuala Lumpur, you will play an instrumental role in shaping the legal landscape of a growing enterprise. Your day-to-day responsibilities will involve close collaboration with executive leadership to drive major corporate transactions while ensuring robust compliance frameworks are maintained.

• Lead the legal and compliance function with responsibility for all aspects of corporate mergers and acquisitions, including due diligence, structuring, negotiation, and execution of transactions.
• Draft comprehensive shareholder agreements, director protocols, regulatory filings, and other essential legal documents to ensure full compliance with statutory requirements.
• Oversee the review, negotiation, and management of all client contracts, vendor agreements, sponsorship deals, and tenancy arrangements to safeguard organisational interests.
• Manage intellectual property portfolios by handling MyIPO trademark registrations and monitoring IP assets for potential infringements or risks.
• Coordinate closely with Bursa Malaysia, Securities Commission Malaysia (SC), and external legal counsel to provide seamless support throughout the listing process.
• Advise senior management on matters of corporate governance, risk mitigation strategies, and best practices in commercial law.
• Develop internal policies and procedures that promote compliance with local regulations while supporting business objectives.
• Represent the organisation in negotiations or discussions with external parties regarding mergers, acquisitions, or other strategic partnerships.

What you bring:

• Possess an LLB degree from a recognised institution and have been called to the Bar in Malaysia with full practising credentials.
• Demonstrate 10–15 years’ experience in legal practice with substantial exposure to initial public offerings (IPOs) within Malaysia’s regulatory context.
• Exhibit deep knowledge of corporate governance principles alongside proven capability in drafting commercial contracts for diverse business needs.
• Showcase strong skills in risk advisory services tailored to large-scale corporate transactions or restructuring exercises.
• Maintain absolute discretion when handling sensitive information while being assertive enough to protect organisational interests during negotiations.
• Have hands-on experience managing intellectual property portfolios including trademark registration processes under MyIPO guidelines.
• Be adept at building positive relationships with regulatory authorities such as Bursa Malaysia or Securities Commission Malaysia as well as external counsel.
• Demonstrate commitment to continuous learning by staying updated on evolving laws affecting mergers, acquisitions, listings or compliance.
