What you'll do:

As Company Secretary, you will be responsible for orchestrating the smooth operation of board-related meetings and activities with close collaboration with senior leaders to ensure that all documentation is meticulously prepared.

The primary responsibilities are:

  • Attend meetings and advising on comprehensive secretarial support to ensure all proceedings are accurately documented.
  • Coordinate all aspects of meeting arrangements including minute-taking, tracking matters arising, compiling meeting papers, preparing logistics, issuing notices, and setting agendas.
  • Assist with the timely preparation and distribution of documents related to Board and Committee meetings, ensuring all materials are complete and delivered punctually.
  • Act as an adviser and liaison between the Board, Committees, Management, and relevant departments on matters of governance and compliance.
  • Provide administrative support for Board training programmes by coordinating schedules and maintaining accurate records of participation.
  • Prepare and submit applications to regulatory authorities such as Bank Negara Malaysia regarding the appointment or re-appointment of Directors.
  • Maintain up-to-date information on Directors through platforms such as Kijangnet, ensuring accuracy and confidentiality at all times.
  • Draft reports for Annual General Meetings (AGMs), including corporate information, Director profiles, and Corporate Governance Statements for shareholder execution.
  • Ensure strict compliance with legislation such as the Companies Act 2016, Financial Services Act 2013, BNM Policy Documents on Corporate Governance, and other relevant regulations.
  • Implement effective document management systems to safeguard sensitive information while adhering to standard operating procedures and continuously seeking process improvements.

What you bring:

To excel as Company Secretary in this leading financial institution based in Kuala Lumpur, you will bring proven experience supporting boards or committees within regulated environments—ideally within banking or financial services. Your deep familiarity with Malaysian corporate law ensures that you can confidently navigate complex compliance requirements while providing sound advice on governance matters.

  • A minimum of 10 - 15 years of demonstrated experience in company secretarial functions within financial services or regulated industries, professional qualification (MAICSA) or equivalent licenses required.
  • Comprehensive understanding of Malaysian corporate legislation including Companies Act 2016, Companies Regulations 1966, Financial Services Act 2013, BNM Policy Documents on Corporate Governance, and related guidelines is essential.
  • Proven track record in organising high-level meetings with responsibilities such as minute-taking, agenda preparation, document compilation, logistics coordination, and follow-up on action items.
  • Exceptional written communication skills with experience drafting formal reports for AGMs as well as preparing regulatory submissions for authorities like Bank Negara Malaysia.
  • Strong organisational abilities enabling you to manage complex schedules while maintaining meticulous records under tight deadlines.
  • Excellent interpersonal skills allowing you to act as an effective liaison between board members, committees, management teams, external regulators, and other stakeholders.
  • High level of discretion when handling confidential information coupled with robust document management capabilities.
  • A proactive approach towards keeping abreast of new regulations affecting company secretarial functions along with a willingness to suggest process improvements within the department.
  • Ability to work collaboratively within a team-oriented environment that values knowledge sharing and mutual support among colleagues.
