Requirements
  • Assist the Company Secretary in ensuring compliance with the Companies Act 2016 and other relevant regulations.
  • Maintain and update statutory registers and records, including registers of members, directors, and secretaries.
  • Prepare and circulate board meeting agendas, minutes, and resolutions.
  • Coordinate and manage the filing of statutory documents with the Companies Commission of Malaysia (SSM).
  • Assist in the preparation of annual reports and financial statements.
  • Provide administrative support to the Company Secretary on corporate governance matters.
  • Handle correspondence and communication related to company secretarial matters in both English and Bahasa Malaysia.
  • Assist in organizing and coordinating annual general meetings (AGMs) and extraordinary general meetings (EGMs).
  • Ensure proper record-keeping and documentation of all company secretarial activities.
  • Stay updated on changes in company law and regulations and advise the Company Secretary accordingly.
  • Knowledge or experience in accounting is an added advantage.
Responsibility
  • Maintain statutory books and records, including registers of members, directors, secretaries, and transfers.
  • Prepare and file statutory returns and documents with the Companies Commission of Malaysia (SSM) in a timely manner.
  • Organize and coordinate board meetings, annual general meetings (AGMs), and extraordinary general meetings (EGMs), including preparing agendas, notices, and minutes.
  • Ensure compliance with the Companies Act 2016 and other relevant regulations.
  • Advise the board of directors on matters related to corporate governance and regulatory compliance.
  • Assist in the preparation and review of corporate resolutions and other legal documents.
  • Manage and update company information on the SSM portal.
  • Handle correspondence with shareholders and other stakeholders.
  • Maintain accurate and up-to-date records of shareholdings and transfers.
  • Assist in the implementation of corporate policies and procedures.
  • Monitor changes in company law and regulations and advise the company accordingly.
  • Liaise with external auditors, legal counsel, and other professional advisors.
  • Support the Company Secretary in ensuring the company's compliance with all applicable laws and regulations.
